14. března Rio Tinto oznámilo, že předložilo nezávazný návrh představenstvu Turquoise Hill na získání zhruba 49 procent akcií Turquoise Hill, které dosud nevlastní. Menšinoví tyrkysoví akcionáři Hill obdrží akcii C 34 v hotovosti, což je 32procentní prémie k poslední uzavírací ceně, za celkovou protihodnotu 2,7 miliardy USD.
The proposed deal follows a comprehensive agreement recently reached between Rio Tinto, Turquoise Mountain and the Mongolian government to advance the OT project, reset the relationship between the partners and approve the start of underground operations. It will simplify the ownership structure of the Oyu Tolgoi (OT) project, in order to create a more effective ownership and governance structure, strengthen Rio's copper portfolio and strengthen its long-term commitment to Mongolia, while giving minority shareholders the ability to develop underground operations while the inherent uncertainties remain. Rio tinto uvedlo, že se těší na konstruktivní spolupráci s představenstvem Turquoise Hill na urychlení navrhované transakce. Pokud investoři tyrkysové Hill nepřijmou navrhovanou transakci, Rio je vítá, aby pokračovali v investování a sdíleli budoucí rizika a finanční závazky rovným dílem.
Rio vlastní asi 51 procent společnosti Turquoise Mountain a má práva proti-ředění, která jí umožňují čas od času získat další podíly ve společnosti tyrkysová hora, aby si udržela svůj podíl. Za zmínku stojí, že ačkoli je Rio Tinto absolutním většinovým akcionářem Turquoise Hill, zájmy těchto dvou nejsou úplně totožné a kvůli rozšíření OT dolu dokonce podali žalobu. V dubnu loňského roku se Rio tinto a Turquoise Mountain po řadě soudních řízení a jednání dohodly na plánu financování expanze, který řeší zbývající známé finanční potřeby ve výši asi 2,3 miliardy na základě memoranda o porozumění podepsaného v roce 2020. Strany souhlasit se společným získáním příkazu ke zrušení rozhodčího řízení a příkazu k prozatímním opatřením na spravedlivém základě.
Pentwater Capital, a US activist investor that owns 9 per cent of Turquoise Mountain, accused Rio of hiding the true cause of the project's delays, increased its budget from 5.3bn to 6.45bn and filed a class-action lawsuit demanding damages.
In January, Pentwater wrote to a Rio board member arguing that Rio's corporate governance had continued to fail. Rio tinto said its directors would not comment. Pentwater has not commented on how it intends to vote on the proposed deal.
